Changed here www.trucsr.in ("truCSR")is a website owned, administered and managed by Green Scarf Management Consultants Private Limited, being a private limited company incorporated under the Companies Act, 2013 having Corporate Identification Number (CIN) U74999MH2019PTC329820 and its registered address at 46, Bajaj Bhavan 4th Floor Jamnalal Bajaj Marg, 226 Nariman Point, Mumbai-400021 (the "GSMC" or "Company"). truCSR hosts a collection of online resources on the website www.trucsr.in (the "Platform" or "Portal") to facilitate interactions between contributors (resource providers) and implementers (resource seekers) for the purposes of undertaking various community development initiatives aimed at achieving , environmental and social sustainability. The site may also provide users with access to a rich collection of resources, including but not limited to, video articles, videos, embedded videos, images, embedded images, statistical data and other works (hereinafter referred to as "trucsr.in Data").
The "trucsr.in Data", collectively with the Platform are referred to as the "Services". Please note that the Services include information and software provided from our third party licensors.
The Platform and the Service are provided to you subject to these truCSR Terms of Conditions(these "Terms" or "TOU"). For the purpose of the Terms and wherever the context so requires, the terms "you" and "your" shall mean any person who uses or accesses, whether through manual or automated means, the Platform or the Service in any manner whatsoever including persons browsing the Platform and its content, posting comments or any content or responding to any advertisements or content on the Platform. By using the Service, you agree to comply with these Terms. Additionally, when using a portion of the Service, you agree to conform to any applicable posted terms and conditions for such Service, which may change or be updated from time to time at truCSR's sole discretion. You understand and agree that you are solely responsible for reviewing these Terms from time to time. Should you object to any term or condition of these Terms, any guideline, or any subsequent changes thereto or become unhappy with truCSR or the Service in any way, your only choice is to immediately discontinue use of truCSR. These Terms may be updated by truCSR at any time at its sole discretion. truCSR may send you notices of changes to the Platform or the Terms. truCSR may provide a translation of the English version of the Terms into other languages. You understand and agree that any translation of the Terms into other languages is for your convenience only and that the English version governs the terms of your relationship with truCSR.Furthermore, if there are any inconsistencies between the English version of the Terms and any translation, the English version of the Terms shall govern.

2.ACCEPTANCE OF TERMS: CHANGES TO TOU

BY ACCESSING, BROWSING, OR USING THE SITES AND SERVICES YOU ARE DEEMED TO ACCEPT THE TOU, AS WELL AS OUR PRIVACY POLICY (each of which is either incorporated herein by reference or link for the same has been given), AS A BINDING AGREEMENT. You understand and agree that your establishment ("Your Establishment") may have entered into a separate Agreement with us for availing certain specific Service ("Your Establishment's Agreement"). To the extent of any conflict between this Agreement and Your Establishment's Agreement, Your Estalishment's Agreement shall prevail.
WITHOUT LIMITING THE FOREGOING, IF THE INDIVIDUAL ENTERING INTO THIS AGREEMENT IS DOING SO ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, SUCH INDIVIDUAL REPRESENTS THAT HE OR SHE HAS THE REQUISITE AUTHORITY TO BIND SUCH ENTITY, ITS AFFILIATES AND ALL USERS WHO ACCESS THE SERVICE THROUGH SUCH ENTITY'S ACCOUNT TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS "YOU" OR "YOUR" SHALL REFER TO SUCH ENTITY, ITS AFFILIATES AND USERS ASSOCIATED WITH IT. YOU UNDERSTAND AND AGREE THAT YOUR RELATIONSHIP WITH THE COMPANY IS LIMITED TO BEING A SITE USER, AND NOT AN EMPLOYEE, AGENT, JOINT VENTURER OR PARTNER OF THE COMPANY FOR ANY REASON, AND YOU ACT EXCLUSIVELY ON YOUR OWN BEHALF AND FOR YOUR OWN BENEFIT, AND NOT ON BEHALF OF OR FOR THE BENEFIT OF THE COMPANY.
We reserve the right to change this User Agreement from time to time without notice. You acknowledge and agree that it is your responsibility to review this User Agreement periodically to familiarize yourself with any modifications. Your continued use of this site after such modifications will constitute acknowledgment and agreement of the modified terms and conditions.

3.YOUR LICENSE TO USE THE SERVICES

truCSR grants you a personal, non-exclusive, non-transferable license to use the Services, including the Sites and Software. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the content included in the Services, in whole or in part. You may download copyrighted material for your personal use only. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication, or commercial exploitation of downloaded material will be permitted.

• (i) decompile, reverse engineer, reverse assemble or otherwise attempt to discover any source code, except as otherwise permitted by applicable law. or
• (ii) remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels on the Services.

You may not access the Services by any means other than through the interface that is provided by truCSR. Furthermore, you may not use the Services in any manner that could damage, disable, overburden, or impair the Services, nor may you use the Services in any manner that could interfere with any other party's use and enjoyment of the Services. You are not permitted to retrieve and store in electronic or any other form any material part of the databases underlying the Services. All commercial and/or unauthorized use of the Services is strictly prohibited. You agree not to use or resell the Services for any commercial purpose, including, but not limited to, sending unsolicited commercial messages.
The Services remain at all times the sole property of truCSR or its third party licensors, and their use is subject to the copyright and trademark notices. All rights in the Services not expressly granted to you by truCSR under the TOU are retained by truCSR.

4.POSTINGS TO THE SERVICES

The Services may permit you to post, submit transmit, email, or otherwise make available contents (including offline submission in CDs, or other electronic medium). You may only submit Postings that you created or that you have permission to submit and that do not violate copyright, trademark, or any other rights of third parties.
By submitting Postings to any of the other Services, you grant us, our subsidiaries, affiliates, successors, and assigns a perpetual, irrevocable, worldwide, royalty-free, fully-paid, and sub-licensable license to use, copy, display, distribute, modify, adapt, publish, translate, publicly perform and publicly display the Postings (in whole or in part) and to incorporate the Postings into other works in any format or medium now or later known.
You may not upload, post, submit (online or offline), email, transmit, or otherwise make available any Postings that

• (i) contain falsehoods or misrepresentations that could damage truCSR or any third party.
• (ii) are unlawful, obscene, defamatory, libellous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourage conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or are otherwise inappropriate.
• (iii) contain advertisements, solicitations of business or spam.
• (iv) disseminate or transmit any worms, viruses or other harmful, disruptive or destructive files, code or programs.
• (v) collect or store personal information about others or otherwise invade their privacy. or
• (vi) impersonate another person or forge headers or use any other method to disguise the true origin of the Posting. Additionally, you may not submit any Postings that violate the TOU.

You acknowledge that truCSR is not obligated to pre-screen content submitted by partners, but that truCSR shall have the right (but not the obligation) in their sole discretion to refuse or remove any content that is made available via truCSR by any user that violates the TOU or is otherwise objectionable.
truCSR respects the intellectual property of others and asks you to do the same. truCSR may, in appropriate circumstances and at its sole discretion, terminate your right to use any of the Services for any reason, including, but not limited to, if you are a repeat infringer. If you believe that your work has been copied in a way that constitutes copyright infringement or your intellectual property rights have been otherwise violated, please see Copyrights and Intellectual Property Right Notices.

5.MODIFICATIONS TO THE SERVICES

truCSR reserves the right at any time, and from time to time, to modify, suspend, or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that truCSR shall not be liable to you or to any third party for any such modification, suspension or discontinuance.

6.DEALINGS WITH ADVERTISERS OR THIRD PARTY VENDORS

truCSR may include advertisements on the Services, which are necessary for truCSR to provide the Services to its users free of charge. Your correspondence or business dealings with, or participation in promotions of, advertisers or third party vendors found on or through the Services, including payment and delivery of related goods or products, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser or third party vendor. Any question, complaints, or claims should be directed to the appropriate advertiser or third party vendor. Additionally, all product reviews and ratings are informative for those wishing to use them, but they do not guarantee any level of performance by a third party vendor in any transaction. You agree that truCSR shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers or third party vendors or product reviews or ratings on the Services.

This policy only addresses the Services. truCSR, or third parties may provide, links to other World Wide Web sites. Additionally, in many cases, co-branded services that are jointly provided by us and selected companies will contain the Services branding, but might not be hosted by us. Because truCSR has no control over such sites, you acknowledge and agree that truCSR is not responsible for the availability of such external or co-branded sites, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites. You should not attribute any views or information on such sites to truCSR. You further acknowledge and agree that truCSR shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or products available on or through any such linked site. ADDITIONALLY, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND. truCSR, AND ITS THIRD-PARTY LICENSORS, SPECIFICALLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGMENT.
truCSR, ITS PARTNERS AND VENDORS MAKE NO WARRANTY THAT:

• (i) THE SERVICES WILL MEET YOUR REQUIREMENTS,
• (ii) THE PROVISION OF THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE,
• (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE,
• (iv) THE QUALITY OF ANY PRODUCTS, SOFTWARE, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE USE OF THE SERVICES WILL MEET YOUR EXPECTATIONS, OR
• (v) ANY ERRORS IN THE SERVICES WILL BE CORRECTED. NEITHER WE, NOR OUR LICENSORS OR SUPPLIERS, GUARANTEE THE RELIABILITY, ACCURACY, COMPLETENESS, SAFETY, TIMELINESS, LEGALITY, USEFULNESS, ADEQUACY OR SUITABILITY OF ANY OF THE SERVICES. THE SERVICES MAY BE HARMFUL, UNTIMELY, INCOMPLETE, OR INACCURATE AND, ACCORDINGLY, YOU AGREE TO EXERCISE CAUTION, DISCRETION AND COMMON SENSE WHEN USING THE SERVICES.
YOU SHOULD NOT USE THE SERVICES FOR EMERGENCY PURPOSES, OR AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL, PSYCHOLOGICAL, TAX, LEGAL, INVESTMENT, ACCOUNTING, OR OTHER PROFESSIONAL ADVICE. THE ENTIRE RISK FOR USE OF THE SERVICES IS BORNE BY YOU.

10.COPYRIGHTS / TRADEMARKS

All substance and materials accessible on www.trucsr.in, including yet not restricted to content, designs, site name, code, pictures and logos are the licensed innovation of the Company, and are ensured by relevant copyright and trademark law. Any improper use, including however not restricted to the propagation, appropriation, show or transmission of any substance on this site is carefully precluded, except if explicitly approved by the Company.

11.TERMINATION OF USE

You concur that we may, at our sole tact, suspend or end your entrance to all or part of our site and Resources with or without notice and under any conditions, including, without impediment, break of this User Agreement. Any speculated unlawful, deceitful or oppressive action might be justification for ending your relationship and might be alluded to suitable law authorization experts. 13.PAYMENT FACILITY

Platform may from time to time contract with third party payment service providers including banks to open nodal bank accounts under applicable Indian laws, to facilitate the payment between users i.e. Implementing Partners and Contributors and for collection of Platform Fees and other charges. These third party payment service providers may include third party banking or credit card payment gateways, payment aggregators, cash on delivery or demand draft / pay order on delivery service providers, mobile payment service providers or through any facility as may be authorized by the Reserve Bank of India for collection, refund and remittance, as the case may be of payment or supporting the same in any manner.

14.LIMITATION OF LIABILITY

NONE OF THE IMPLEMENTING PARTNERS, CONTRIBUTORS, SPONSORS, VENDORS, ADMINISTRATORS, OR ANYONE ELSE CONNECTED WITH THE SERVICES IN ANY WAY WHATSOEVER CAN BE RESPONSIBLE FOR THE APPEARANCE OF ANY INACCURATE INFORMATION OR FOR YOUR USE OF THE INFORMATION CONTAINED IN OR LINKED FROM THE SERVICES.
www.trucsr.in won't be obligated for any immediate, aberrant, coincidental, weighty or praiseworthy misfortune or harms which might be brought about by you because of utilizing our Resources, or because of any changes, information misfortune or debasement, abrogation, loss of access, or downtime to the full degree that appropriate restriction of risk laws apply.

15.INDEMNIFICATION

You agree to indemnify and hold truCSR, its subsidiaries and affiliates, and their respective officers, directors, employees, and agents harmless from and against any and all liability, losses, claims, demands or costs of any kind, including reasonable attorneys' fees and costs of litigation, arising from

• (i) your Postings or other content you submit, post, transmit, email, or otherwise make available through the Services,
• (ii) your use of or reliance on the Services,
• (iii) your connection to the Services,
• (iv) your violation of the TOU, or
• (v) your violation of any rights of another party.

16.GENERAL

None of the provisions of this TOU shall be deemed to constitute a partnership or agency between You and Platform and You shall have no authority to bind Platform in any manner whatsoever nor shall Platform have any authority to bind you in any manner whatsoever. All the services provided by the Platform shall be as independent contractor and on principal to principal basis.
If any provision in the TOU should be held illegal or unenforceable by a court of competent jurisdiction, such provision shall be modified to the extent necessary to render it enforceable without losing its intent, or severed from the TOU if no such modification is possible, and the other provisions of the TOU shall remain in full force and effect. The controlling language of the TOU is English. If you have received a translation into another language, it has been provided for your convenience only.
The TOU constitute the entire agreement between you and truCSR and govern your use of the Services, superseding any prior agreements between you and truCSR. Please note, however, that some Services may have additional or different terms related specifically to such Service only ("Service Terms"). The Service Terms are in addition to the general terms and conditions in the TOU. If there is any conflict between the TOU and the Service Terms, the Service Terms will govern with respect to that particular Service. Some terms contained in the TOU may not be applicable to a particular Service, in which case, such inapplicable terms will not apply to you with respect to that particular Service.
In Platform's sole discretion, Platform may transfer its rights and obligations under this Agreement, assign this Agreement or novate this Agreement without your prior express consent. However, Platform on reasonable efforts basis and if practicable may provide You with an advance intimation of any such acts.

The headings to the sections of the TOU are used for convenience only and shall have no substantive meaning or impact on the interpretation of the TOU.

20.GOVERNING LAW

This TOU and all the rules and policies contained herein and any of Your usage of Website and Your dealings with Platform shall be governed and construed in accordance with the laws of India. Any dispute arising under these terms and conditions shall be subject to the jurisdiction of the courts of Mumbai, Maharashtra, India.

21.ARBITRATION

If any dispute arises between You and Platform during Your use of the Website or Your dealing with the Platform in relation to any activity on the Website, in connection with the validity, interpretation, implementation or alleged breach of any provision of the User Agreement and all the rules and policies contained herein, the dispute shall be referred to a sole arbitrator who shall be an independent and neutral third party identified by Platform. The Arbitration & Conciliation Act, 1996, shall govern the arbitration proceedings. The arbitration proceedings shall be in the English language. The place of arbitration shall be Mumbai. Your obligations to pay the Service Charges shall not be suspended during the arbitration proceedings.
